1. About Counselyn
Counselyn is a private membership club for Cyprus-based senior in-house counsel, operated by Counselyn Ltd, a company incorporated in Cyprus ("Counselyn", "we", "us"). These Terms and Conditions govern membership of Counselyn and use of the counselyn.com website. By accessing the website or accepting an invitation to join Counselyn, you agree to be bound by these Terms.
2. Membership
2.1 Membership of Counselyn is by invitation or peer recommendation only. There is no open application process. Admission decisions rest solely with the Founders.
2.2 Membership is personal and non-transferable. It may not be assigned, shared, or delegated to any third party.
2.3 Membership is conditional on the member currently holding a senior in-house legal position within a business, with a minimum of ten years post-qualification experience and responsibility for legal risk, governance, compliance, transactions, or board-facing work. Private practice lawyers and independent consultants are not eligible for membership.
2.4 By accepting membership, you confirm that you meet the eligibility criteria set out in clause 2.3 and agree to notify Counselyn promptly if your circumstances change such that you no longer meet those criteria.
2.5 Counselyn reserves the right to decline or withdraw membership at any time, at its sole discretion, without being required to give reasons.
3. Membership Fees
3.1 Charter Members — those joining during the founding cohort — receive a two-year membership fee waiver from the date of their admission. Annual membership thereafter is EUR 290 plus VAT.
3.2 Standard annual membership is EUR 290 plus VAT, payable in advance on the anniversary of the member's admission date.
3.3 Membership fees are reviewed every two years. Members will be given no less than 60 days' written notice of any increase. Continued membership following the notice period constitutes acceptance of the revised fee.
3.4 Membership fees are non-refundable except where required by applicable law.
3.5 Where a member ceases to hold an in-house position during a membership year, membership shall continue until the expiry of that membership year. No refund shall be due and membership shall not be renewed unless the member has resumed an eligible in-house position at the time of renewal.
4. Confidentiality
4.1 All discussions, exchanges, and information shared within Counselyn — whether through the members' channel, at private events, in working groups, or through any other Counselyn forum — are strictly confidential.
4.2 Members must not disclose, reproduce, attribute, or otherwise communicate outside Counselyn any information shared by another member in the course of Counselyn activities, without the prior written consent of the member who shared it.
4.3 Where Chatham House rules are stated to apply at an event or session, members may use information received but must not identify or attribute it to any speaker or participant.
4.4 The confidentiality obligations in this clause survive termination of membership indefinitely.
5. Member Conduct
5.1 Members are expected to conduct themselves at all times in a manner consistent with the standards and values of Counselyn — professionally, respectfully, and with discretion.
5.2 The following are strictly prohibited within any Counselyn forum or event:
Unsolicited business development, selling, or commercial promotion of any kind. Recruitment activity or headhunting directed at fellow members. The sharing of content that is misleading, defamatory, discriminatory, or otherwise unlawful. Any conduct that brings Counselyn or its members into disrepute.
5.3 Counselyn reserves the right to withdraw membership immediately and without prior notice where a member breaches any provision of this clause or clause 4.
6. Events and Activities
6.1 Attendance at Counselyn events — including private dinners, roundtables, webinars, workshops, and retreats — is by invitation. Invitation to one event does not guarantee invitation to future events.
6.2 Counselyn events are designed for peer exchange and candid professional discussion. Members attend in their personal capacity. Counselyn does not endorse, verify, or accept responsibility for views, advice, or information exchanged between members at or in connection with any event.
6.3 Members may not bring guests to Counselyn events unless expressly invited to do so by the Founders.
7. Intellectual Property
7.1 All content created by Counselyn — including website content, publications, reports, briefings, and event materials — is owned by Counselyn Ltd and may not be reproduced, distributed, or published without prior written consent.
7.2 Members retain ownership of any content they contribute to Counselyn forums. By contributing content, members grant Counselyn a non-exclusive licence to use that content for the purposes of operating the club, including in anonymised or aggregated form in publications or reports.
8. Limitation of Liability
8.1 Counselyn is a peer exchange forum. Nothing exchanged between members in the course of Counselyn activities constitutes legal, financial, regulatory, or professional advice. Members rely on information shared by fellow members at their own risk.
8.2 Counselyn Ltd shall not be liable for any loss or damage arising from a member's reliance on information exchanged through Counselyn, the conduct of any member, or the cancellation or postponement of any event.
8.3 Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
9. Data and Privacy
9.1 Counselyn collects and processes personal data in accordance with its Privacy Policy, available at counselyn.com/privacy. By becoming a member, you consent to the processing of your personal data for the purposes of administering your membership and facilitating member communications.
9.2 Counselyn will not share member data with third parties without prior consent, except where required by law.
10. Amendments
10.1 Counselyn reserves the right to amend these Terms and Conditions at any time. Members will be given no less than 30 days' written notice of any material amendment. Continued membership following the notice period constitutes acceptance of the amended Terms.
10.2 The current version of these Terms is available at counselyn.com/terms.
11. Termination
11.1 A member may terminate their membership at any time by written notice to admin@counselyn.com. No refund of fees paid shall be due.
11.2 Counselyn may terminate membership immediately and without notice where a member breaches these Terms, in particular the confidentiality and conduct provisions in clauses 4 and 5.
11.3 Upon termination, the member's access to all Counselyn forums and events will cease immediately. Confidentiality obligations survive termination.
12. Governing Law
These Terms and Conditions are governed by the laws of Cyprus. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Cyprus.
